PE的Carried Interest到底是啥

只讲我最熟悉的PE fund哈。一般PE fund都是close-end fund，一旦commit了，就不能退出了，要走也只能自己找到下家transfer。一般的周期是10年，之后可以延期2个一年。前五年是活跃的投资期，actively looking for new deals，后面的2－3年只做follow on，最后2－3年就要找时机exit了。可以想象成一个 PE fund的早，中，晚期。一般前一个fund中期的时候，就是下一个fund开始fund raising的时候。这样management fee才不会断档

每一个新的fund成立，management company都会form一个GP。一般GP占比1% of total fund commitment。一开始GP和其余99%的LPs是一样的，除了不用付management fee (否则就是左口袋到右口袋了哈），其他的fund的所有开销，投资盈利都只占1%。然，等到盈利（realized+unrealized）经过一系列复杂的运算（行话是“waterfall”），在确保LP的preferred return（一般8%－12%）以后，1%的GP 分到达盈利就是自己的1%+99%LP的20%。 这个99%的20%就是Carried Interest了。中型PE fund一般1。5－2B commitment吧，CI是不是就是一块真实的大饼了！还不够直观，看看我司一位资深MD的2021 Q2 的还没拿到手的CI吧:

前面两个终止的funds已拿到手的CI每个也不会低于20M。

第三个fund进入晚期，成本已拿回，CI也已拿回一半。之所以没有把CI全部distribute，是要防着claw back。那是因为waterfall的计算是把unrealized gain也算进去的。万一项目垮了，或是市场垮了，GP是要把想对应的CI还给LP的。这是PE在2008－2009年惨痛的经验
