in the long run, the management may do something wrong to destroy the value of the company, which you don't know years ago. This is the agent issue that no method can avoid. statistics shows that bonus, options and etc can only help some, but not all.
Warren buffet is different. He has control all over the company he invests, which has totally difference value/cost to us.
