卖Condo出现问题，是卖家的责任吗

卖Condo，已经超过Closing　date２周了，上周问对方Agent，还说在Lender在等HOA回复，这周卖方Agent直接联系Lender，说是non warrantable condo，没法贷款。可以找到下一家贷款，但是要再至少２－３周才能Close。

买方Agent说卖家没有disclose material fact, 所以如果我们要Terminate，买家应该拿回Deposit. 可是我们根本不知道Condo是non warrantable, 请问这个情况卖家必须Disclose吗？买家有近３周的时间做Due diligence, 在Due diligence period 查出来我们肯定退押金， 可是现在Due diligence period都过去已经3周了。 目前还不清楚贷款是什么时候Order 的HOA questionnaire，但据HOA说上周五有联系他们。

目前还在商谈Extension，想问问最坏情况， 如果真的要和买家打官司，关于卖家不知情Condo是否warrantable的情况，卖家有责任吗？关于Condo 是否warrantable, 是不是应该Lender来Find out?
