紧急求教单身老猫：NDA和Severance Agreement在公司合并以后是否必须征得员工的同意才继续生效

原来的公司（非盈利）签了NDA和Severance Agreement。这两个文件是互相联系的 Severance Agreement 要求签NDA，所以一起签的。其中NDA里有一个条款：

This agreement shall not be assigned by XXX or XXX without the prior written constent of the other party.

这家非盈利后来和另一家机构合并，另一家机构是surviving company, 原来机构注册取消仅保留品牌。现在是这家新机构告我违反NDA和Severance Agreement。

是不是可以合并为理由NDA无效。因为我是和原来的机构签的。Severance Agreement是和NDA联系的，是不是也无效。

就是我离职时候和公司A签了一个NDA合同，

后来公司B买了公司A。 公司B买的时候没有征求我同意将NDA合同转给公司B。

现在公司B用我和公司A签的NDA合同来告我。
