一般来说，% of the ownership of an LLC (partnership) itself 是不能做1031的，能做1031的，是整个LLC， IRS 是following the EIN number的。

所以就有了一个drop and swap 的process，就是说如果你不能整个公司所有的partners agreeing to 1031, 就只能

1. dissolve the llc, converting the LLC to tenants-in-common.

2. cash-buyout the partner before you sell or after you complete the 1031.
