About the first offer

Which stage is the company at, seed, Series A, B, ...? You mentioned they didn't offer much benefits but what about stock/stock-options? Most of all, what do you see the future of this start-up, do you see a potential M&A in the future?

It is also critical to check the track-records of the founders/co-founders and investors? There're cases that founders/co-founders keep re-branding/re-naming companys to bring in new board members and fundings but basing the products on pretty much the same idea, and chances are their products hardly could take off and end up with garage sales.
