大家来帮我看看这个offer怎么样

我从 Qualcomm刚得到下面这个offer ,要我两天内回复，大家帮我看看怎么样，谢谢了！

底薪 $98000
股票 1400 shares
relocation San Francisco Bay Area to San Diego:
大约$5000 或者一个月的housing&storage


我个人的情况：
PhD in ME top5 school, 五年小公司工作经验，有绿卡，在SF Bay Area，现在年薪$85000.

我知道在现在这个情况下找到这样好的公司不容易，也是我的背景比较特殊，没有很多人做，碰巧了。有经验的兄弟姐妹帮我看看要不要再negotiate了。多谢了! oTZ
