My friend in China is asking me to translate one contract for her. I love to help her but I have limited English and couldn’t do it. I feel bad if I couldn’t offer help but people in China don’t understand why I don’t offer help for her. They all think I am very good at English since I live here. But this isn’t true.

As Borrower discussed with authorized representative and agree with each other,we issued this loan letter of intent.
第一条：贷款
Item one: Loan
金额：五佰万美元。。
Amount:five million USD dollars

第二条
Item Two
1，利率：年利率8%，按正常天数计息。
Interest Rate:Year Interest8%，According to the Normal days to calculate interest.
1， 正常利息=本合同约定利率*放款金额*占用天数（日利率=月利率/30）
Normal Interest = this contract agreed interest rate * loan amount * engross days (interest rate per day = monthly interest / 30)
2， 逾期贷款的罚息利率按本合同约定利率上浮50%。
Overtime loan of penalty interest rate according to this contract agreed interest rate rise 50%。
3， 本合同项下贷款结息方式为利随本清，结息日为还款日

第三条：贷款的发放与偿还
Intem Three:Loan Provide and compensate
1， 贷款发放为2009年12月30日开始，在1年内分期贷出
Loan provide from 30th.Dec.,2009, Provide by one year
2， 贷款的偿还为放款日后的五年内全额偿还。未经贷款人书面同意，不得提前归还贷款。
Five years after the loan date all compensate can be received by Borrower which is the compensate of loan. If not receive a agreement which is the certify to loaner,the Borrower can not give back loan in advance.
第四条：借款人的陈述与保证
Item Four:Borrower state and guarantee
1， 借款人是依法设立并佥存续的独立民事主体，具备所有必要的权利能力，能以自身名称履行本合同的义务并承担民事责任。
2， 借款人具有合法的进出口经营权，有真实合法的贸易背景，有充分的履约能力。
第五条：贷款人的权利和义务
Item Five: Loaner Droit and incumbency
贷款人有权按照本合同约定收回贷款相互本金、利息（包括逾期罚息），收取借款人应付的费用，行使法律规定或本合同规定的其他权利.
第六条：借款人的义务
Item Six:Borrower incumbency
借款人应当按本合同约定的时间、金额和币种偿还本合同项下的贷款本金并支付利息及罚金。
第七条：违约
1， 借款人未按时足额偿还贷款本金、支付利息，贷款人按本合同规定收取罚息。
2， 借款人未按时足额偿还贷款本金、支付利息，应当承担贷款人为实现俩要而支付的催收费、诉讼费（或仲裁费）、保全费、公告费、执行费、律师费、差旅费及其他费用。
第八条：争议解决
本合同向贷款所在地有管辖权的法院起诉。争议期间，各方仍应继续履行未涉争议的条款。
第九条：其他条款
本合同经双方法定代表人或授权人代表签字（或盖章），加盖公章后生效。
本合同一式贰份，双方各执壹份。
