条款：
binding effect and agreement. this agreement shall be binding upon and ensure to the benefit of the parties hereto, and their respective heirs, successors administrators and assigns, but the franchisee, may not assign, transfer or otherwise dispose of all or any part of its rights or obligations hereunder or any interest herein without the prior written consent of the franchisor.
