It is not necessary to register in USPTO to get trademark protection. Your friend should cnosult a trademark attorney to find out if the two companies are in the same line of business, if they are in the same territory, and if there is actual dilution of business, among other things. The other company used the name first and it has rights to ask your friend to stop using a similar mark.
