公司在香港，在美国网络销售，有什么问题吗？

朋友的公司在香港，主要都是做香港的网售。现在想尝试美国的市场，如果只是把仓库建在美国发货，而不在美国注册公司，在网上付款和税收以及其他相关法律方面会有什么问题吗，或者说会碰到一些什么问题？
