Kill.exe - Application Error

Windows XP.
the following error message always popup,even click OK,
but then it comes again many times, please advise how to fix this issue, thanks.

Kill.exe - Application Error
The instruction at "0x77f941db" referenced memory
at "0x00040004". The memory could not be "read".
