I didn't install Win ME, and also have no Win ME system, not sure if Win ME can use NTFS, or Win ME uses only Fat32. Anyway, you don't need to format before the installation. Install OS in this way:

1. Insert OS CD and power up
2. at the step: where to install OS:
delete all paritions reported, then
create a new partition, either 20GB or entire 40 GB, then select the file system, either NTFS or Fat32 and format the parition, then preceed the rest of the installation.
