BMW X3, 09 Loaner car, worth to buy?

I got an offer for 09 X3, new title but has 4K miles on it.
The dealer offered $39K, MSRP is $47425, is it a good deal?
I think i can get it for $37K.
Did anybody buy a 2010 model recently? how much you paid vs MSRP?
