Pay the IRS first

Your lawyer has already informed you form 8288. He could argue he performed his job. The IRS interest and penalty is accruing each day.  If it were me, I would pay the penalty right away. If you were informed, or asked what 8288 actually meant back then, the penalty might be avoided.
