软件公司-----PARTNERSHIP?

想知道自己的责任首先要明确公司的存在形式.一般公司分为:C CORPORATIONS, LLC, PARTNERSHIP.一般软件公司多为C CORP.,这样方便以后集资,方便管理.如果是C CORP., 公司有可能要你目前以SHAREHOLDER的方式加入并为公司工作.Shareholder is liable to the extend that he invests the company. In your case, you obtain ownership by your service to the company. In case any liability incurred, your personal property will stay safe.

I doubt your company is a C Corp. instead of a Partnership. Owners for C Corp is named shareholder, they are called partner only in Partnership. For partnership, partner MAY BE personally liable for company's liability depends what kind of partner you are, general partner or limited partner.

Take a look of your company's name, if it's ended with Corp or Inc, it's C corp. If it is named as xxxpartnership, it's partnership.

If the company is to sponsor your H1B and withhold your salary till half year later, how could "prevailing wage" requirement satisfied? Anyone knows that? Many thx!
