S corp can go public, the day it goes public, its S corp statut will be replaced by C corp automatically. then as foreign you can exercise ur options, but not when it's still a private S corp. I don't think a company cares so much a few options, but by law, you can not become their shareholder, otherwise they will loss the S corp statut immidiately when you become their shareholder, there is a HUGE tax consequence. I don't think they will allow you to do that, by the way as a private company they are the boss, not SEC!
