This I-797A, I-797B stuff has nothing to do with I-140/I-485 denial. I797A/B is for approval (at least the upper part)
Whether to appeal depends on the reason of your I-140 denial. is the denial a result of USCIS error? You need to point out where USCIS errs in the appeal paper. if no, appeal chance is slim. And at that time, the out-of-status time has incrued for a long time.
