1. Ask the second company to withdraw first. Then file 539 .
2. If you already worked for the second company, use the pay stubs from the second company, and include a copy of H1B transfer receipt with your F2 applcation . Otherwise, use the recent pay stubs from the first company. File F2 a bit later, do not leave the company before you file the F2 and you know the decision about the H1B transfer. In case the H1B trasfer is apporved after F2 application. You may need to refile F2 again to straight out your case.
