My thought

I think the money guy is reasonable. buzbuy has good suggestion. Or if you all tech guys have enough confidence, don't need that money guy and start up with General Partnership Corp. Each of you have same right and liabilities. The problem is after a while, you might fight each other for nothing and dissolve afterwords.
