Was thinking about put up something there, but saw lots of stuff from others, and my opinion will not be popular.
The most important here is: you're not ready for a director position yet -- politically you need to be much stronger first, directors fight all the day, in an easy manner. I don't see that in you, so I'm not going to suggest you try that, it's going to burn you out. It's not about money, you've got a director's money, it's about different way of working. You can be a manager, or even sr. manager, but at this moment you don't look like a director yet, you need to polish you politics first -- directors do things in a much more deliberate and deterministic way.
Usually it's not wise to take the counter offer, but not this case -- you have been offered pretty good package, and the offer from another company is a temp to perm, in such an economy. Plus, that's a utility company, does not look so sexy and sharp, it's kind of for people going there and waiting to die.
