your bargain with the offeror must have a good bargaining power in your side. In a legal sense, once you counter offer, the original offer is revoked. Therefore, you have to choose your words carefully to make your response to the offer. If you don't want the offer disappear from the table, better to put your disclaimer language on the response letter. Of course, it will make your response sounds weak, but it is the only way to keep the offer still on the table. You have to make a educated guess how valuable you are to the offeror, is there readily available replacement if you don't accept, and is the offeror willing to go for a good faith negotiation.
