First, go to a corporate lawyer b/z no lawyer is allowed to provide legal advice here;
Second, many info circulating here are inacurate and some are wrong. This means you'll have a good chance to screw up if you rely on them.
Third, even if you can get some acurate info here, they are not detailed enough to be helpful in most cases.
Fourth, once again only a corporate lawyer can answer your questions in a professional way that you can rely on.
