小startup stock option的问题

请问在exercise the stock option时，原来进公司时假设说是1分钱，可现在要exercise时， 公司说因为有新的investor要投很多钱进来，等于现在一股翻了几百倍，一股假设是2元钱。 如果按照2元钱的价钱要几十万，而且以后如果公司没·成，这钱就打水漂了。 所以现在只能不exercise了吗？ 然后等公司真被卖掉的时候按income tax 交钱？

 

我们一直以为只要投资者的钱没进来，没最后进账，paperwork也没最后完成，只是investor给了这么一个offer, 我们还可以按照1分钱的价格exercise the stock option. 但是公司请来的按小时付钱的lawyer说不行，可以口头提供是1分钱，我们take personal risk to exercise, 如果将来IRS审计， 他们不能提供书面证明这是1分钱, 这样iRS有权认为真正的价值是2元钱，我们要现金补上所有的差额，这是一个承担不起的现金。

 

请问大家真的是像这个律师说的吗？ 在investor钱进来之前，已经不能按1分钱exercise了？ 如果真想律师说的等公司卖的时候交federal and state Income tax, 至少5０％吧？ 如果现在能按1分钱exercise, 只用交long term capital gain tax 15%是吧？ 这税的差别高达35%？ 大家有什么建议？
