我对微软和OpenAI“分家协议”的粗浅分析

在谈判时，川总喜欢用“cards”一词，card本质上指的就是“leverage”, 你手上有没有筹码，既然没有还啰嗦什么lol！谈判中，谁掌握更多leverages，谁就更可能主导结果。最近两天，关于微软与OpenAI签署的非约束性协议（non-binding agreement）的讨论沸沸扬扬, 一边读那些讨论，我一边心想：“sure Microsoft won’t play weak hands, but in negotiations, leverage determines the outcome!”

在我看来，这个协议对微软的“弊”应该是大于“利”的。以下是我的粗浅分析：

1.  微软分成比例调整后的潜在代价：协议的分成锁定没有变，还是2030年，但是微软从OpenAI的收入分成比从20%降至8%。 表面上看，这个比例降低减轻了微软的资金负担，但节省下来的12%巨资该投向何处呢？微软可以投给Anthropic吗？如今Anthropic与OpenAI一样炙手可热，或许还有过之无不及，微软再也无法以当年投资OpenAI的同等价格获取那12%的份额。那么将此资金投入自研亦或用于招兵买马吗？你只要去survey一下high tech领域里的 young talented engineers，大概不会有顶尖人才愿意去微软搞AI/ML研发的。说个笑话给大家听，我儿子大学毕业面试时，有一轮的面试官是位Russian，世界最棒大学的博士，面试即将结束时的open Q/A，我儿子问前辈为什么选择加入那个公司，博士爽快地回答“oh, cuz I used to work for Microsoft....." LOL！所以，我以为微软是明白它们降低分成比是战略失算的，但更明白自己与OpenAI相比，筹码不足。

2.   协议导致微软在AI基础设施竞争上的loss of leverage：在AI大战中，三大云巨头，微软Azure、AWS和Google Cloud, 各有布局。Google与OpenAI的合作空间有限，因为它们的合作可能导致自家生态冲突。而AWS与Anthropic的合作本就较为松散，所以AWS更易与OpenAI联手，如果发生，这将大大削弱微软在AI基础设施的主导地位。 微软的巨额投资原本旨在深度绑定OpenAI，此协议却导致loss of leverage，最终放大了其战略不确定性。 

3.   微软逐渐失去了掌控Sam Altman的upper hand：我们不得不承认Altman的商业手腕很厉害，当年他借力Elon Musk起步，起步后旋即投怀送抱于微软CEO Satya Nadella，这是他的第一次不讲信义。而后在OpenAI利益最大化时他与微软“如胶似漆”，如今翅膀硬了，便又开始强硬“分家”，这是他的第二次......。所以，在商场上，你宁愿与强悍的人打交道，也不要与无信无义，没有感恩之心的人打交道。well，扯远了，打住。

4.    微软的投资角度：从投资角度来看，现阶段OpenAI无疑优于微软，所以OpenAI IPO时，股价一定会非常疯狂。 但从长远来看，我更愿意把钞票投入Elon的Grok AI和Amodei博士的Anthropic，因为我相信在当今的AI时代，商业帝国的发展最终必须建立在科学技术的创新、突破和发展的基础之上，而这个基础的领路者及其重要。After all, in today’s AI era, business operations, deals, and visions must be built on top of disruptive innovation and relentless growth, and the leader of this "empire" is crucial!
