同一个卖家同时卖相邻的两个房子，这里称房A和房B. 房A是single family，卖家自助。房B是two-family with tenants living in. 房A有两个车库，车库前有相应的车道，总共可以停四辆车。房B没有车库，租客两家两辆车停在后院。车道大部分位于房A所拥有地界，但是车道就是建了给房B租客到后院停车用的。两个房子都在很忙的不许街道停车的街道上。
我买two-family房B出租。
卖家开始申请把车道划归房B所有，镇里不允许，因为会导致房A地界不规则。为了保证房B继续使用唯一可进后院的车道，卖家record a shared driveway easement. 但是并没有详细标出shared driveway 的边界。当然卖家这样做是为了两个房子都卖个好价钱。
我先下的offer,在offer接收后，为防纠纷，我标出了entire paved shared driveway 的边界（其实车道长度只是足够两辆车分别进出不互相影响）请卖方律师确认，卖家律师当时确认了，还问我们要不要他file amendment for easement to specifify the boundaries accordingly,我们回复要他去做个补件明确车道边界。这都是七月初的邮件来往了。
然后我就觉得没麻烦了，房检，贷款等等一切顺利，现在要closing了，卖家律师发来Amendment for easement, 居然共享的不是整个车道，他说房A买家要留出车道端头的一段车道停车用，只给房B留下一段够一辆车进出后院，因为是他们的地。问题是，这样，两家房客的两辆车就不能独立的进出parking area,里面的车得等到外面的车先移出去才能进出，对两家庭租户来说停车就成了无尽的麻烦。房A买家律师很给力，极力争取，卖家律师让房A和房B两买家商量，他接受两买家律师的协议。我当然不同意，我当初已经跟卖方律师达成协议，现在半路杀出个程咬金，卖方律师出尔反尔。我的律师太让我失望了，不仅不维护我的利益，还企图强行让我接受房A买家的提议。 我最后只好电邮两方律师，经纪人，如果不共用整个车道，房B我不买了，我还要告他们。
最后卖家发出一张卫星图片，标出了整个车道属于共用。卖方律师居然让房A买家律师起草补件内容，我只看到了文字部分，有一段落是关于临时车道上停车，有一段落是关于维修的，还有一段是关于liability的，请大家帮忙看看合理不合理：
1....省略易懂处........ There shall be no parking within the Driveway Easement Area and the parties shall keep the Driveway Easement Area unobstructed. The parties do agree that as the Driveway Easement Area is Parcel A's only access to their rear yard, reasonable temporary parking at the rear end of the asphalt may be permitted if work is being done in the rear yard of the dewelling as needed.
那个车道也是我要买的房B通往后院的唯一通道，所以我要求上面Parcel A's 改成Parcel A&B's, 既然是临时停车要求，谁还没有后院施工的时候，我的租客如果到时不能在后院停车，也应该临时许可停在车道上。
2. The easement area shall at all times be maintained and kept clear and unobstructed. Grantee (owner of Parcel B) shall be fully responible for the maintainance, repair and when necessary replacement of the Driveway Easement Area so that it remains at all times in good condition and repair. The forgoing obligation will include, without limitation: (i) keeping Driveway Easement Area in a clean, unlittered, orderly, and sanitary condition; (ii) snow removals: and (iii) repairing and repaving the Driveway Easement Area when necessary. The parties will cooperate with each other.
这一段落请大家帮忙看看，合理吗？正常维护因为我方有的多，我应该负责维护维修。但是要是房A后院施工，施工车辆停在车道上，破坏了或者弄脏了，我也要负责吗？
4. Indemnity. Each party hereby indemnifies and saves harmless the other party from any and all liability, damage, expense, causes of action, suits, claims, or judgements arising from the use (or use by their tenants, employees, agents, customers, guests, licensees, invitees, mortgagees, successors, and assigns) of the Driveway Easement Area granted herein, except to the extent caused by the intentional act or negligence of the other party or arising out of the maintainance or repair required under this agreement for which Grantee （Parcel B) shall have sole liability.
