交易条款

国内一家合作比较久的朋友，他们看中的仪器，本来是要新的，价格也说的差不多了，不过国内说有点贵。后来销售说有样机， in pristine condition. 价格下来了一些， 我和国内也说了。厂家发来时候，在托运板，包裹比较大，我公司做仪器不多，仪器少量做过，没什么对大型仪器的打包经验，就直接转发国内了，以前也这么做过几单。国内收到货之后给过来的图片确实比较糟糕。

订货过程中没有contract, 只有 order confirmation 之后这些条款。帮忙看看。

如果他们实在要走法律程序，我一个人应付不了。我的公司也不值什么钱，能申请破产吗，申请破产是什么结果？

麻烦朋友们帮忙方方面面分析一下，我好有个心理准备。多谢了。

 

Terms of payment 30 days net from date of invoice.

Delivery time Delivery of the above would take place approximately 2 - 4 weeks from the date of receipt of 20% down payment and completed credit check.
