替朋友一问，如何用Partnership做到有钱出钱，有力出力，和分配合理？

朋友A有资金，可抄股不给力。朋友B抄股给力，可是资金不足。两人联手，岂不妙哉？
可是Partnership的Agreement，都是按Capital Contribution来决定Capital gain的分配。
如此一来，朋友A用K-1拿Capital gain。朋友B岂不是要拿1099还要交Social Security，
Medicare, 即使是平分同样的Income，到手仍然不同。有什么两全其美的方案呢？
