Go check many public companies board of directors background, that's why they are called rubber stamp. Few board directors are really overseeing the company, even big fund managers as they are not owner but hired employee of fund companies. All they care is short term stock price /return than long term goals, because their bonus /pay is tied to short term performance of the company stocks.
